SALES AGREEMENT

This sales agreement (hereinafter referred to as the "Agreement") was made and entered into on sixth day of September, 2012, by and between JP Clothing Company (hereinafter referred to as "Seller") and American Outfit (hereinafter referred to as "Buyer").

I. SALE OF GOODS: Seller will sell and deliver the products described in the attached document (hereinafter referred to as the "Agreed Product") to Buyer on or before the agreed date of 18/10/2012.
II. PAYMENT: Buyer will receive Agreed Product and pay for Agreed Product with the sum of USD 13,650 paid by bank transfer.
Both parties acknowledge the sufficiency of this consideration. Further, Buyer agrees to pay any present or future taxes or additional costs associated with the sale of Agreed Product.
III. DELIVERY: Seller will ensure the delivery of Agreed Product to the store of Buyer at the cost of Seller.

IV. PASSAGE OF RISK: Seller shall be responsible for the risk of loss or damage and the costs thereof before the time Buyer receives Agreed Product except for loss or damage caused by Buyer. Buyer shall be responsible for the risk of loss and damage and the costs thereof after reception of Agreed Product except for loss and damage caused by Seller.
V. WARRANTY: Buyer has been given the opportunity to inspect Agreed Product or to have it inspected and Buyer has accepted Agreed Product in its existing condition.

Any questions arising out of, or in connection with, this Agreement or any matter not stipulated herein shall be settled upon consultation between both parties.

This Agreement shall be subject to the laws of Japan.

This sales agreement (hereinafter referred to as the "Agreement") was made and entered into on sixth day of September, 2012, by and between JP Clothing Company (hereinafter referred to as "Seller") and American Outfit (hereinafter referred to as "Buyer").: これは「この売買契約書（以下、『本契約書』という）は、JP Clothing Company（以下、『売主』という）とAmerican Outfit（以下、『買主』という）によって、2012年9月6日に締結されたものである」という意味です。売買契約書では、最初に契約の締結者と締結日時を明記します。「契約書」はagreementともcontractとも言いますが、agreementのほうがよく使われます。This agreement was entered into on ～「本契約書は（年月日）～に締結された」、A and B agreed to enter into this contract on ～「A社とB社は（年月日）～に本契約書を締結することに合意した」のように表すこともあります。

(hereinafter referred to as "Seller") and American Outfit (hereinafter referred to as "Buyer").: hereinafter referred to as the "Agreement"は「以下、『本契約』という」という意味で、契約書でよく使われる表現です。hereinafterの代わりにhereinを使うこともあります。agreed product「本物品」やthe agreed date「定められた日付」も契約書の定型表現で、このように取り決めた表現を、それ以降の文面で繰り返し使います。また、ここでは日本語でいう「甲」をSeller「売主」、「乙」をBuyer「買主」としていますが、「甲」をFirst Party、「乙」をSecond Partyと表すこともあります。
SALE OF GOODS / PAYMENT / DELIVERY / PASSAGE OF RISK / WARRANTY: 契約書の条項は、ふつうすべて大文字で書き表します。ここでは順に「物品の販売」「支払条件」「引渡」「危険負担の移転」「品質保証」を記載していますが、契約によってdefinitions「定義」、individual contract「個別契約」、confidentiality「秘密保持」、damages「損害賠償」など、さまざまな条項が加えられます。
Buyer will receive Agreed Product and pay for Agreed Product with the sum of USD 13,650 paid by bank transfer.: これは「買主は本物品を受領し、合計13,560アメリカドルを銀行振込で支払うものとする」という意味です。契約書ではitやtheyなどの代名詞はあまり使いません。この文のAgreed Productのように、同じ語句を繰り返し使います。
Any questions arising out of, or in connection with, this Agreement or any matter not stipulated herein shall be settled upon consultation between both parties. This Agreement shall be subject to the laws of Japan.: それぞれ「本契約に定めのない事項が生じたとき、又はこの契約条件の各条項の解釈につき疑義が生じたときは、両当事者が誠意をもって協議の上解決するものとする」、「本契約は日本国の法律に従うものとする」という意味で、どちらも契約書の最後に使われる定型表現です。both parties「両当事者」、shall be subject to ～「～に従うものとする」は契約書でよく使われます。
IN WITNESS WHEREOF, the parties hereto above caused this Agreement to be executed by their duly authorized officers as of the day and year first above written.: これは「以上の証として、本契約当事者は頭書の日付をもって、正式の権限を付与された役員が署名した本契約を締結した」という意味です。契約書はこのような表現で締めくくり、契約責任者の署名を入れます。IN WITNESS WHEREOF「以上の証として」は必ず大文字で書きましょう。
